PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT", "TERMS") CAREFULLY BEFORE ACCESSING OR USING THE TRAVELOOP PLATFORM. By creating an account, accessing the website at traveloop.co, or using any service offered by Traveloop Single Member P.C. (Greek: Traveloop Μονοπρόσωπη Ι.Κ.Ε., "Traveloop", "we", "us", "our", "the Platform"), you irrevocably acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, Cookie Policy, and all policies incorporated herein by reference. If you do not agree to all provisions herein, you must immediately cease all use of the Platform. These Terms constitute a legally binding agreement between you (the "User", "Buyer", "Seller", or "Visitor") and Traveloop Single Member P.C., a company duly incorporated under the laws of the Hellenic Republic.

SECTION 1 — INTERMEDIARY FACILITATOR STATUS, PLATFORM MANDATE & VENUE DISCLAIMER

1.1 Nature of the Platform

Traveloop Single Member P.C. ("Traveloop") operates a specialized Peer-to-Peer (P2P) secondary marketplace exclusively for the facilitated resale of confirmed hotel reservations between private users. Traveloop provides the technological infrastructure, escrow facilitation services, identity verification integrations, payment processing intermediation, and dispute mediation tooling that enables Users to list and acquire hotel reservation transfers. Traveloop is, at all times and under all circumstances, a neutral technological venue and passive escrow-facilitating intermediary. It is not, and shall never be construed to be, an auctioneer, hotelier, hotel operator, travel agent, tour operator, package holiday provider, travel broker, accommodation reseller, or the employer, principal, agent, representative, partner, joint-venturer, or franchisee of any User.

1.2 Non-Party Status to User Contracts

Traveloop is expressly and unequivocally NOT a party to any contractual arrangement, offer, acceptance, agreement, or transaction formed between a Buyer and a Seller for the transfer of a hotel reservation. The enforceable contract for the transfer of a hotel reservation is formed solely and exclusively between the Buyer and the Seller, as two independent private parties.

1.3 No Endorsement of Listings

Traveloop does not independently verify, endorse, warrant, guarantee, or assume any liability whatsoever for the accuracy, completeness, legality, transferability, authenticity, validity, or availability of any hotel reservation listed on the Platform by a Seller.

SECTION 2 — PEER-TO-PEER MESSAGING SYSTEM, USER-GENERATED CONTENT (UGC) & COMMUNICATION LIABILITY

2.1 Passive Conduit Status

The Traveloop Platform includes an integrated real-time peer-to-peer messaging and communication system ("Chat System") enabling Users to communicate directly with one another regarding listings and transactions. Traveloop operates the Chat System solely as a passive technical conduit. Traveloop does not originate, author, edit, moderate (except as described in Section 2.5), or endorse the content of any message transmitted by Users through the Chat System.

2.3 Strictly Prohibited Communications & Conduct

The following conduct is strictly prohibited on the Platform and constitutes a material breach of these Terms:

Platform Bypass / Payment Steering: Any communication, suggestion, solicitation, or attempt to direct payment for a Platform transaction through any channel other than the Traveloop escrow system.
Contact Information Sharing for Off-Platform Transactions: Sharing personal telephone numbers, social media handles, personal email addresses, messaging application usernames, or any other personal contact information with the intent to facilitate a transaction outside the Platform.
Off-Platform Transactions: Completing, attempting to complete, or soliciting the completion of any transaction for a hotel reservation resale that originated on the Platform through any means external to the Platform.
Extortion, Blackmail, or Coercion: Threatening a counterparty with negative reviews or any other form of harm as leverage in a transaction or dispute.

SECTION 3 — STRIPE CONNECT EXPRESS, PAYMENT PROCESSING, FINANCIAL LIABILITIES, DISPUTES & CHARGEBACKS

3.4 Merchant Liability Clause — Chargebacks & Credit Card Disputes

Sellers acknowledge and irrevocably agree that, in the event a Buyer initiates a payment dispute or Chargeback, the disputed funds, plus any chargeback fees, shall be automatically, directly, and irrevocably debited from the Seller's connected Stripe Express account. Traveloop is fully indemnified and holds zero financial, legal, or administrative liability for any Chargeback.

SECTION 4 — SELLER LISTING WARRANTIES, REPRESENTATIONS, COMPLIANCE OBLIGATIONS & HOTEL REJECTION LIABILITY

4.1 Seller Warranties

By creating and submitting any listing on the Platform, each Seller expressly warrants that the hotel reservation is authentic, valid, confirmed, and fully paid, is legally transferable, and that all listing details are accurate and not misleading.

SECTION 5 — BUYER OBLIGATIONS, DISPUTE WINDOW & CONFIRMATION MECHANICS

5.2 The Critical 48-Hour Dispute Window

Upon the Buyer's scheduled hotel check-in date, the Buyer has a strictly enforced window of forty-eight (48) hours to report qualifying dispute events. Failure to initiate a dispute within this 48-hour window shall result in the irrevocable, automatic, and unappealable release of all escrowed funds to the Seller.

SECTION 6 — ABSOLUTE LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES & INDEMNIFICATION

6.2 Maximum Liability Cap

Traveloop's total cumulative liability to any User shall be limited to the lesser of zero Euros (€0.00) or the exact Platform Service Fee actually paid by the claiming User for the specific transaction.

SECTION 10 — DISPUTE RESOLUTION, GOVERNING LAW, JURISDICTION & CLASS ACTION WAIVER

10.2 Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of the Hellenic Republic.

10.3 Exclusive Jurisdiction

Each party irrevocably submits to the exclusive jurisdiction of the competent courts of Athens, Greece.

SECTION 11 — MODIFICATIONS, SEVERABILITY & ENTIRE AGREEMENT

Traveloop reserves the right to modify these Terms. Continued use of the Platform following notification of changes constitutes acceptance.

SECTION 12 — YACHT CHARTERS & VESSEL TRANSMISSIONS

Buyers of Yacht/Boat Charter categories acknowledge and agree that maritime authorities (e.g., Port Authorities) and private charter companies enforce strict local regulations regarding Skipper Licenses, Crew Lists, and Transit Logs. The seller transfers the booking confirmation right, but the buyer is solely responsible for verifying and fulfilling all legal operating credentials and documentation required at embarkation. Traveloop holds funds in escrow for booking validity but assumes no liability for port clearance denials.

ΠΑΡΑΚΑΛΟΥΜΕ ΔΙΑΒΑΣΤΕ ΠΡΟΣΕΚΤΙΚΑ ΤΟΥΣ ΠΑΡΟΝΤΕΣ ΟΡΟΥΣ ΧΡΗΣΗΣ ΚΑΙ ΠΑΡΟΧΗΣ ΥΠΗΡΕΣΙΩΝ («ΣΥΜΦΩΝΙΑ», «ΟΡΟΙ») ΠΡΙΝ ΑΠΟ ΤΗΝ ΠΡΟΣΒΑΣΗ Η ΤΗ ΧΡΗΣΗ ΤΗΣ ΠΛΑΤΦΟΡΜΑΣ TRAVELOOP. Με τη δημιουργία λογαριασμού, την πρόσβαση στον ιστότοπο traveloop.co ή τη χρήση οποιασδήποτε υπηρεσίας της Traveloop Μονοπρόσωπης Ι.Κ.Ε. («Traveloop», «εμείς», «εμάς», «μας», «η Πλατφόρμα»), αναγνωρίζετε αμετάκλητα ότι έχετε διαβάσει, κατανοήσει και συμφωνεί να δεσμεύεστε από τους παρόντες Όρους στο σύνολό τους.

ΕΝΟΤΗΤΑ 1 — ΙΔΙΟΤΗΤΑ ΕΝΔΙΑΜΕΣΟΥ ΔΙΕΥΚΟΛΥΝΤΗ

Η Traveloop λειτουργεί ως ουδέτερος τεχνολογικός χώρος και παθητικός ενδιάμεσος διευκόλυνσης escrow. Δεν είναι συμβαλλόμενο μέρος σε καμία σύμβαση μεταξύ Αγοραστή και Πωλητή.

ΕΝΟΤΗΤΑ 2 — ΣΥΣΤΗΜΑ ΣΥΝΟΜΙΛΙΑΣ & ΑΠΑΓΟΡΕΥΜΕΝΕΣ ΣΥΜΠΕΡΙΦΟΡΕΣ

Απαγορεύεται αυστηρά η παράκαμψη της πλατφόρμας, η κοινοποίηση στοιχείων επικοινωνίας για συναλλαγές εκτός πλατφόρμας και ο εκβιασμός.

ΕΝΟΤΗΤΑ 6 — DAC7 ΑΝΑΦΟΡΑ

Η αναφορά ενεργοποιείται όταν ένας Πωλητής ολοκληρώνει 30 ή περισσότερες συναλλαγές ή λαμβάνει συνολικό αντάλλαγμα άνω των €2.000 σε ένα ημερολογιακό έτος σύμφωνα με την Οδηγία 2021/514 και τον Ν. 5057/2023.

ΕΝΟΤΗΤΑ 10 — ΕΦΑΡΜΟΣΤΕΟ ΔΙΚΑΙΟ & ΔΙΚΑΙΟΔΟΣΙΑ

Οι παρόντες Όροι διέπονται από το δίκαιο της Ελληνικής Δημοκρατίας. Αποκλειστική δικαιοδοσία έχουν τα δικαστήρια της Αθήνας. Οι χρήστες παραιτούνται από το δικαίωμα συμμετοχής σε ομαδικές αγωγές.

ΕΝΟΤΗΤΑ 11 — ΤΡΟΠΟΠΟΙΗΣΕΙΣ & ΕΠΙΚΟΙΝΩΝΙΑ

Η Traveloop διατηρεί το δικαίωμα τροποποίησης των Όρων. Η συνέχιση χρήσης συνιστά αποδοχή. Επικοινωνία: legal@traveloop.co

ΕΝΟΤΗΤΑ 12 — ΝΑΥΛΩΣΕΙΣ ΓΙΩΤ & ΜΕΤΑΒΙΒΑΣΕΙΣ ΣΚΑΦΩΝ

Οι αγοραστές κατηγορίας Ναυλώσεων Γιώτ/Σκαφών αναγνωρίζουν και συμφωνούν ότι οι θαλάσσιες αρχές (π.χ. Λιμενικές Αρχές) και οι ιδιωτικές εταιρείες ναυλώσεων επιβάλλουν αυστηρούς τοπικούς κανονισμούς σχετικά με Άδειες Skipper, Σύσταση Πληρώματος και Transit Logs. Ο πωλητής μεταβιβάζει το δικαίωμα επιβεβαίωσης κράτησης, αλλά ο αγοραστής φέρει αποκλειστική ευθύνη για την επαλήθευση και την εκπλήρωση όλων των νόμιμων διαπιστευτηρίων και εγγράφων που απαιτούνται κατά την επιβίβαση. Η Traveloop διατηρεί τα κεφάλαια σε escrow για την εγκυρότητα της κράτησης αλλά δεν αναλαμβάνει καμία ευθύνη για απορρίψεις εκκαθάρισης λιμένα.
